Terms of Investment.

This is a summary of the terms of investment, and in no way is an offer to sell, nor a solicitation of an offer to purchase, any securities. Such an offer, if any, will be made only pursuant to a confidential private placement memorandum to be produced hereafter and made available to qualified investors, all in accordance with applicable state and federal securities and blue sky laws.

Biosensor is making available to qualified investors a limited offering of 7,500,000 preferred units at $1.00 per share to raise working capital. Holders of preferred units are entitled in aggregate to a mandatory distribution of $0.10 per sensor sold by IVI within 90 days of each semi-annual period. In addition, preferred members will be paid dividends from corporate profits until 100% of the initial investment is repaid. Projections are baed on contracts in the fullfilment stage as well as in negotiations.
